1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Neptune EHSS website, platform, and related services (collectively, the "Services") provided by CodeSwift ("Neptune," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Description of Services

Neptune provides environmental, health, safety, and sustainability (EHSS) software for incident management, audits, compliance, workforce health, operations, ESG reporting, and related workflows. Features may change as we improve the platform.

3. Accounts & Eligibility

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. You represent that you have authority to bind your organization if you use the Services on its behalf.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

4. Acceptable Use

You agree not to:

• Violate any applicable law or regulation
• Attempt to gain unauthorized access to systems, data, or other users' accounts
• Upload malware, scrape the Services without permission, or interfere with platform integrity
• Use the Services to store or transmit unlawful, harmful, or infringing content
• Reverse engineer, resell, or misuse the Services except as expressly allowed

5. Subscriptions & Fees

Paid plans are billed according to your order form or subscription agreement. Fees are non-refundable except as stated in our Refund Policy or required by law. We may change pricing with notice for renewal periods.

6. Intellectual Property

Neptune and its licensors own all rights in the Services, including software, branding, and documentation. You retain ownership of data you submit ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Services.

7. Confidentiality

Each party agrees to protect the other's confidential information and use it only for purposes related to the Services, except where disclosure is required by law or the information is already public through no fault of the receiving party.

8. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Neptune is a software tool and does not replace professional EHS, legal, or regulatory advice. See also our Disclaimer.

9. Limitation of Liability

To the maximum extent permitted by law, Neptune and CodeSwift shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our aggregate liability arising from the Services shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate access if you breach these Terms or create risk to the platform or other users. You may stop using the Services at any time. Provisions that by nature should survive (including IP, confidentiality, and liability limits) will survive termination.

11. Governing Law

These Terms are governed by the laws applicable to CodeSwift's principal place of business, without regard to conflict-of-law rules, unless a written enterprise agreement states otherwise.
